Terms of Service

The agreement between you and whatmoves for use of the platform.

1. Acceptance

These Terms of Service (the “Terms”) govern your access to and use of whatmoves (the “Service”), operated by [LEGAL ENTITY NAME] (“we,” “us,” or “our”). By creating an account, listing a vehicle, placing a bid, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you bid in or list an auction, the Auction Rules also apply and form part of these Terms. If you do not agree, do not use the Service.

2. Eligibility & accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You agree to provide accurate, current information and to keep it up to date.
  • You are responsible for activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use.
  • The Service is intended for the Canadian market. You are responsible for compliance with the laws of your province or territory.

3. The Service is a venue

whatmoves is an online venue that connects vehicle sellers with prospective buyers. We are not the seller, buyer, broker, agent, or auctioneer of record for any vehicle, and we do not take title to or possession of listed vehicles.

Each vehicle is sold directly by its seller, on an as-is, where-is basis unless the seller expressly states otherwise. Listing descriptions, condition reports, photos, and records are provided by the seller. We do not independently verify them and make no representation or warranty about any vehicle.

4. Acceptable use

  • Do not post false, misleading, or fraudulent listings or information.
  • Do not manipulate auctions, including shill bidding, bidding you do not intend to honour, or coordinating bids to distort price.
  • Do not bid on your own listing or arrange for others to do so on your behalf.
  • Do not scrape, harvest, or copy Service content except as permitted, and do not interfere with the Service’s operation or security.
  • Do not use the Service for any unlawful purpose or to infringe others’ rights.

5. Listings & your content

Sellers are solely responsible for the accuracy and legality of their listings, including vehicle condition, ownership, title status, and any required disclosures. By submitting photos, descriptions, comments, or other content, you confirm you have the right to do so and grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and adapt that content for the purpose of operating and promoting the Service.

The Service may use AI tools to help draft listing write-ups and to screen submissions. AI-assisted write-ups are a convenience, are reviewable and editable by the seller, and do not constitute a representation or warranty by us about the vehicle.

6. Fees

Buyer and seller fees, bid increments, reserves, and payment obligations are set out in the Auction Rules. By bidding or listing you agree to those fees. Estimated provincial taxes shown on a listing are estimates only and are not collected by us; see the Auction Rules.

7. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any vehicle, listing, write-up, fraud score, or tax estimate is accurate, complete, or reliable.

8. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or for any transaction between a buyer and seller. Our total aggregate liability arising out of or relating to the Service will not exceed the total fees you paid to us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless [LEGAL ENTITY NAME] and its officers, directors, employees, and agents from any claim or demand, including reasonable legal fees, arising out of your use of the Service, your content, your transactions, or your breach of these Terms.

10. Suspension & termination

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or the Auction Rules, engaged in fraud or manipulation, or created risk or legal exposure for us or other users. You may stop using the Service at any time; provisions that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, by notice. Your continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute not subject to mandatory consumer-protection rules in your home jurisdiction.
